Terms of Service for Directify

These Terms of Service ("Terms") govern your access to and use of Directify's website, software, hosted directory websites, dashboards, APIs, and related services (collectively, the "Services"). The Services are operated by Directify ("Directify", "we", "us", or "our"). By creating an account, subscribing to a plan, or otherwise using the Services, you ("you" or the "Customer") agree to these Terms. If you do not agree, do not use the Services.
1. About the Service
Directify is a no-code directory website builder. The Services let you create, host, customize, and monetize directory websites, including listings, categories, custom fields, blogs, custom pages, paid submissions, and connected custom domains. The Services may include features such as AI-assisted content generation, third-party integrations, analytics, an API, an MCP server, and email delivery.
2. Eligibility and Account Registration
You must be at least 18 years old (or the age of majority in your jurisdiction) and legally able to enter a contract to use the Services. When you register, you agree to provide accurate, current, and complete information and to keep it updated. You are responsible for safeguarding your password and for any activity under your account. Notify us immediately at support@directify.app if you suspect unauthorized access.
3. Subscriptions, Free Trial, Billing, and Refunds
3.1 Plans. The Services are offered on a subscription basis (monthly or annual) at the prices listed on our pricing page, which may be updated from time to time. Higher-tier plans unlock additional features, websites, listings, integrations, and limits.
3.2 Free Trial. New paid subscriptions may include a free trial period. We may modify or discontinue the trial at any time. If you do not cancel before the trial ends, your subscription will automatically convert to a paid subscription at the then-current rate.
3.3 Auto-Renewal. Subscriptions auto-renew at the end of each billing cycle until cancelled. You can cancel from your account dashboard at any time; cancellation takes effect at the end of the current billing period.
3.4 Payment Processing. Payments are processed by third-party providers (currently Stripe and Creem). You authorize us and our processors to charge your selected payment method for all fees. We do not store full payment card details.
3.5 Refunds. Subscription fees are non-refundable except where required by law or under a specific refund offer (such as a 30-day money-back guarantee, when explicitly stated at checkout). Failed payments may result in suspension of the Services after reasonable notice.
3.6 Taxes. Fees are exclusive of any applicable taxes, levies, or duties, which are your responsibility.
4. Customer Content
4.1 Definition. "Customer Content" means all data and materials you, your collaborators, or your end-visitors submit, upload, or generate through the Services — including listings, categories, tags, organizers, articles, custom fields, images, logos, custom pages, leads, reviews, and end-visitor submissions on your directory.
4.2 Ownership. You retain all rights in your Customer Content. You grant Directify a worldwide, non-exclusive, royalty-free license to host, store, copy, transmit, display, and process Customer Content solely as needed to provide and improve the Services.
4.3 Responsibility. You are solely responsible for the legality, accuracy, and appropriateness of Customer Content, for obtaining all necessary rights and consents, and for complying with applicable laws (including data-protection, advertising, and consumer-protection laws) in operating your directory.

You agree not to use the Services, and not to allow your collaborators or end-visitors to use the Services, to:

6. Custom Domains, Hosting, and Email
If you connect a custom domain, you warrant that you control or are authorized to use it. You are responsible for keeping DNS records correctly pointed to our infrastructure as instructed in your dashboard. Some features (such as transactional email or custom email delivery) require you to configure third-party services and authenticate sending domains; you are responsible for compliance with anti-spam laws, including CAN-SPAM, CASL, and the EU ePrivacy rules.
7. Third-Party Services and Integrations
The Services integrate with third-party providers, which may include payment processors (Stripe, Creem), AI providers (OpenAI), analytics (Umami, Google Analytics, Plausible, PostHog), email delivery (Resend, Postmark, Amazon SES), screenshot and content services (ScreenshotOne, BlogBuster, SEOBotAI), cloud infrastructure (Cloudflare and our hosting provider), Google services, and others ("Third-Party Services"). Your use of Third-Party Services is governed by their own terms and privacy policies. We are not responsible for Third-Party Services or any consequences of your use of them.
8. Intellectual Property in the Services
The Services, including all software, designs, templates, trademarks, logos, and documentation, are owned by Directify or its licensors and are protected by intellectual-property laws. Subject to these Terms and your payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your business purposes during your subscription. We may use your name and logo to identify you as a customer in our marketing unless you opt out at support@directify.app.
9. Feedback
If you submit suggestions, ideas, or feedback about the Services, you grant Directify a perpetual, irrevocable, royalty-free license to use them without restriction or compensation.
10. Suspension and Termination
10.1 By You. You may cancel your subscription at any time from your dashboard. You remain responsible for fees accrued before cancellation.
10.2 By Us. We may suspend or terminate your account or specific Services, with or without notice, if you breach these Terms, present a security or legal risk, or fail to pay fees when due, or if required by law.
10.3 Effect of Termination. Upon termination, your right to access the Services ends. We may retain or delete Customer Content in accordance with our Privacy Policy and applicable law. We typically allow a reasonable window after termination to export your data; the specific export options available depend on your plan.
11. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT AI-GENERATED CONTENT WILL BE ACCURATE OR FIT FOR YOUR PURPOSE.
12. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL DIRECTIFY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, OR DATA, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID TO DIRECTIFY IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
13. Indemnification
You agree to defend, indemnify, and hold harmless Directify and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to your Customer Content, your use of the Services, your violation of these Terms, or your violation of any law or third-party right.
14. Modifications
We may update the Services and these Terms from time to time. Material changes will be posted at this URL with an updated effective date and, where appropriate, notified by email or in-product notice. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
15. Governing Law and Dispute Resolution
These Terms are governed by the laws applicable to the jurisdiction in which Directify operates, without regard to its conflict-of-laws principles. The parties will first attempt to resolve any dispute informally by contacting support@directify.app. If a dispute cannot be resolved informally, it will be submitted to the competent courts of that jurisdiction, except where applicable law requires otherwise.
16. Miscellaneous
These Terms, together with our Privacy Policy and any plan-specific terms presented at checkout, are the entire agreement between you and Directify regarding the Services. If any provision is held unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce a provision is not a waiver of our right to do so later. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
